1. Acceptance of Terms
By accessing or using the consulting and B2B training services provided by Aeternus Holdings LLC ('the Company'), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you must cease use of our services immediately.
2. B2B Service Provision
Services are intended strictly for business-to-business (B2B) purposes. By engaging our services, you represent that you are acting in a professional capacity on behalf of a valid legal entity.
3. Scope of Consulting Services
Our consulting services focus on strategy, growth, and operational support. The specific scope of work, deliverables, and timelines will be defined in a separate Statement of Work (SOW) or Service Agreement.
4. Training & Education
Training materials and sessions are for educational purposes only. The Company does not guarantee specific business outcomes or financial results following the completion of any training program.
5. California Professional Standards
Aeternus Holdings LLC operates under the professional standards expected of business consultants within the State of California. All guidance is provided based on industry best practices.
6. Intellectual Property Rights
All training manuals, proprietary methodologies, and strategy documents created by the Company remain the exclusive intellectual property of Aeternus Holdings LLC unless otherwise agreed in writing.
7. User Obligations
Clients must provide accurate data, timely feedback, and necessary access to personnel for the Company to perform its consulting duties effectively.
8. Confidentiality
Both parties agree to protect and maintain the confidentiality of any non-public, proprietary information shared during the course of the engagement.
9. Payment Terms
Standard B2B payment terms are Net 30 from the date of invoice. Late payments may be subject to interest at the maximum rate permitted under California law.
10. Cancellation & Termination
Either party may terminate a service agreement upon 30 days' written notice. Fees for work performed up to the date of termination remain due and payable.
11. Limitation of Liability
To the maximum extent permitted by law, Aeternus Holdings LLC's liability shall be limited to the total fees paid by the Client for the specific service giving rise to the claim.
12. Disclaimer of Warranties
Services are provided 'as is' without warranties of any kind, whether express or implied, regarding fitness for a particular purpose or non-infringement.
13. Indemnification
Clients agree to indemnify and hold Aeternus Holdings LLC harmless from third-party claims arising from the Client's use of consulting deliverables in a manner inconsistent with these terms.
14. Independent Contractor Status
The Company performs services as an independent contractor. Nothing in these terms creates an employer-employee relationship or partnership.
15. Business Integrity
The Company adheres to high ethical standards and expects all Clients to comply with applicable anti-corruption and fair competition laws.
16. California Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
17. Venue & Jurisdiction

For B2B entities, the Company processes business contact information as described in our Privacy Policy and in compliance with CCPA where applicable.
23. Non-Solicitation
During the term of engagement and for one year thereafter, Clients agree not to solicit or hire any employees or consultants of Aeternus Holdings LLC.
24. Export Compliance
Clients represent that they are not subject to U.S. trade sanctions and will not use Company services in violation of export control laws.
25. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
26. Entire Agreement
These Terms, along with any signed SOWs, constitute the entire agreement between the parties and supersede all prior understandings.
